Terms of Service
1. Acceptance of These Terms
These Terms of Service (“Terms“) are a binding agreement between Suede Inc, a [Delaware] corporation doing business as Suede (“Suede,” “we,” “us,” or “our“), and the business that registers for or uses the Services (“Customer“ or “you“).
By installing the Suede App, clicking to accept these Terms, or using the Services, you agree to these Terms. If you accept on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Services.
The Services are for business use only and are not offered to consumers.
Definitions
“Services“ means the Suede App on the Shopify App Store, the Suede website at thesuede.com, the Suede email intake address, and all related software, features, and support Suede provides.
“Customer Data“ means data and content Customer or its users submit to or make available through the Services, including Shopify store data and Vendor Materials.
“Vendor Materials“ means order confirmations, invoices, line sheets, lookbooks, product images, product descriptions, pricing, size and SKU information, and other materials from Customer’s vendors, brands, or showrooms, whether Customer submits them or Suede retrieves them at Customer’s direction.
“Output“ means product listings, purchase orders, descriptions, attributes, and other content the Services generate from Customer Data.
“Storefront“ means each Shopify store or other commerce platform account Customer connects to the Services.
“Authorized Users“ means Customer’s employees and contractors Customer permits to use the Services.
2. The Services
2.1 Description. The Services help independent retailers turn Vendor Materials into product listings, purchase orders, and related content for their Storefronts. Features may include parsing vendor documents, enriching listings with brand-provided images and descriptions, drafting and publishing listings, and creating purchase orders.
2.2 Changes. Suede may add, change, or remove features. If a change materially reduces core functionality Customer has paid for, Suede will give reasonable notice, and Customer may terminate and receive a prorated refund of prepaid fees for the unused period.
2.3 Shopify. The Services connect to Customer’s Storefront through Shopify’s APIs. Customer’s use of Shopify is governed by Customer’s agreement with Shopify. Suede is not responsible for Shopify’s availability, changes to Shopify’s APIs, or actions Shopify takes on Customer’s account.
2.4 Accounts. Customer is responsible for its Authorized Users, for keeping login credentials secure, and for all activity under its account. Customer will notify Suede promptly at hello@thesuede.com of any unauthorized access.
2.5 Email Intake. If Customer forwards Vendor Materials to a Suede email intake address, Customer will forward only materials related to its use of the Services. Suede will process those emails only to provide the Services.
2.6 Support. Suede will provide reasonable support by email during business hours (Pacific time). Suede does not guarantee response times unless agreed in writing.
3. Authorization, Limited Agency, and Authorized Retailer Status
3.1 Authorization. Customer authorizes Suede to access, receive, retrieve, and process Vendor Materials, including through email Customer forwards, files Customer uploads, vendor or brand portals Customer connects, and brand websites, and to use Vendor Materials to create, edit, and publish listings and purchase orders in Customer’s Storefronts, in each case solely to provide the Services to Customer.
3.2 Limited Agency. In performing the activities in Section 3.1, Suede acts as Customer’s limited agent solely for that purpose and at Customer’s direction. Nothing in these Terms authorizes Suede to enter into contracts, place, accept, or cancel orders with vendors, make or receive payments, or otherwise bind Customer to any third party. Suede has no authority or obligation to act on Customer’s behalf for any other purpose, and no fiduciary relationship is created.
3.3 Authorized Retailer. Customer represents and warrants that it is an authorized retailer of each brand and product for which it uses the Services, or is otherwise authorized by the applicable brand or vendor to sell those products.
3.4 Rights in Vendor Materials. Customer represents and warrants that it has all rights, licenses, and permissions needed to provide Vendor Materials to Suede, and to authorize Suede to use, reproduce, modify, and publish them as described in these Terms, including brand images and descriptions Suede retrieves from brand websites for Customer’s listings.
3.5 Vendor Restrictions. Customer is responsible for complying with its agreements with vendors and brands, including restrictions on imagery, product copy, advertised pricing (including minimum advertised price policies), sales channels, and release dates. Suede is not responsible for enforcing those restrictions unless Customer configures the Services to do so.
3.6 Credentials. If Customer gives Suede credentials for a vendor portal or third-party platform, Customer represents that sharing them is permitted under that platform’s terms, and authorizes Suede to use them solely as described in Section 3.1. Customer may revoke this authorization at any time by changing the credentials and notifying Suede.
3.7 Notice of Changes. Customer will promptly notify Suede and stop submitting Vendor Materials for any brand if Customer’s authorization to sell that brand or use its materials ends.
4. AI-Generated Output and Customer Review
4.1 Nature of Output. The Services use artificial intelligence, including models from third-party providers, to read Vendor Materials and generate Output. AI can make mistakes. Output may contain errors in product names, sizes, colors, quantities, costs, prices, SKUs, barcodes, descriptions, or images.
4.2 Customer Review. Customer is responsible for reviewing Output before it is published or relied on, including listings, prices, inventory quantities, and purchase orders. Customer can choose settings that publish Output automatically. If it does, Customer accepts responsibility for Output published without its prior review.
4.3 Human Review by Suede. Suede may use human reviewers to check some Output for quality. That review is a courtesy that does not shift responsibility for Output to Suede, and Suede does not guarantee that every item is reviewed.
4.4 No Guarantee of Accuracy. Suede does not guarantee that Output will be accurate, complete, or suitable for Customer’s purposes. Suede is not responsible for losses from pricing errors, inventory mismatches, mislabeled products, or customer orders placed on inaccurate listings, except as stated in Section 4.5.
4.5 Remedy for Service Failures. If a defect in the Services causes Output accuracy to fall materially below Suede’s normal performance, and Customer reports it within 30 days, Suede will use commercially reasonable efforts to correct the affected Output. If Suede cannot correct it within a reasonable time, Customer may receive a credit or refund of fees for the affected period. This is Customer’s sole remedy for inaccurate Output.
5. Fees and Billing
5.1 Fees. Customer will pay the fees for the plan it selects, as shown in the Suede App, on the Shopify App Store listing, or in an order form signed by both parties (“Order Form“). If an Order Form conflicts with these Terms, the Order Form controls for that Customer.
5.2 Billing Through Shopify. Subscriptions bought through the Suede App are billed through Shopify’s billing system and appear on Customer’s Shopify invoice. Shopify’s billing terms also apply to those charges. Fees under an Order Form may be invoiced directly by Suede.
5.3 Usage-Based Fees. Plans with usage limits or overage fees measure usage as described in the plan. Unless the plan says otherwise, a product counts toward usage on the date its Vendor Materials are submitted to Suede for processing, not the date the resulting listing is published.
5.4 Renewal. Monthly plans renew each month and annual plans renew each year until canceled. Customer may cancel at any time in the Suede App or by emailing support@thesuede.com. Cancellation takes effect at the end of the current billing period.
5.5 Refunds. Fees are non-refundable except as stated in Sections 2.2 and 4.5, or as required by law. Suede may issue credits or refunds at its discretion, and doing so once does not create an obligation to do so again.
5.6 Price Changes. Suede may change its prices with at least 30 days’ notice. Changes take effect at the next renewal. Prices in an annual Order Form are fixed for that term.
5.7 Taxes. Fees exclude taxes. Customer is responsible for applicable sales, use, and similar taxes, other than taxes on Suede’s income.
5.8 Late Payment. If payment fails or is overdue, Suede may suspend the Services after giving Customer notice and at least 10 days to pay.
6. Data and Intellectual Property
6.1 Customer Data. As between the parties, Customer owns its Customer Data, subject to the rights of vendors and brands in Vendor Materials. Customer grants Suede a worldwide, non-exclusive, royalty-free license to host, copy, process, modify, display, and publish Customer Data as needed to provide, secure, and support the Services.
6.2 Output. As between the parties, Customer owns the Output, subject to third parties’ rights in any Vendor Materials included in it. Suede may keep and reuse the structure and format of Output, but not Customer’s specific content, to operate the Services.
6.3 Suede Technology. Suede owns the Services and all software, models, prompts, templates, and know-how used to provide them, including improvements. These Terms grant Customer a limited, non-exclusive, non-transferable right to use the Services during the subscription term for its internal business purposes. No other rights are granted.
6.4 Model Training. Suede may use Customer Data and Vendor Materials, in de-identified form that does not identify Customer, to train, evaluate, and improve the Services and Suede’s models. Suede will not disclose Customer’s pricing, order volumes, or vendor terms to other customers.
6.5 Aggregated Data. Suede may collect and use aggregated and de-identified data about use of the Services, such as product counts, processing times, and accuracy rates, to operate and improve the Services and for analytics, provided it does not identify Customer, its vendors, or any individual.
6.6 Third-Party Providers. Suede uses third-party service providers, including hosting and AI model providers, to process Customer Data. Suede is responsible for their performance of its obligations under these Terms. Suede will not let its AI providers use Customer Data to train their own models, to the extent their terms allow Suede to prevent it.
6.7 Privacy and Security. Suede’s Privacy Notice at thesuede.com/privacy describes how Suede handles personal information. Suede will use reasonable administrative, technical, and physical safeguards to protect Customer Data, and will notify Customer without undue delay after confirming unauthorized access to Customer Data.
6.8 Feedback. If Customer gives Suede suggestions or feedback, Suede may use them without restriction or compensation.
6.9 Publicity. Suede may name Customer and show its logo as a customer on its website and in marketing materials. Customer may opt out at any time by emailing support@thesuede.com.
7. Acceptable Use and Third-Party Services
7.1 Restrictions. Customer will not, and will not let anyone else:
submit Vendor Materials it is not authorized to use, or use the Services to list counterfeit, stolen, or unauthorized goods;
use the Services in violation of law or any third party’s rights;
copy, resell, sublicense, or provide the Services to third parties, except to operate Customer’s own Storefronts;
reverse engineer, decompile, or try to extract the Services’ source code, models, or prompts, except as law expressly permits;
use the Services to build a competing product;
interfere with or overload the Services, or bypass usage limits or security measures; or
upload malware or material that is unlawful, infringing, or harmful.
7.2 Third-Party Services. The Services work with third-party products, including Shopify, vendor and brand portals, and brand websites. Suede does not control them and is not responsible for their content, availability, accuracy, or changes. Customer’s use of them is governed by their own terms.
7.3 Suspension. Suede may suspend Customer’s access if Customer’s use breaches Section 3 or 7.1, threatens the security or operation of the Services, or exposes Suede to legal liability. Suede will give notice when practical and restore access once the issue is resolved.
8. Warranties and Disclaimers
8.1 Mutual. Each party represents that it has the authority to enter into these Terms.
8.2 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SUEDE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. SUEDE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.
9. Limitation of Liability
9.1 Excluded Damages. EXCEPT FOR EXCLUDED CLAIMS, NEITHER PARTY IS LIABLE FOR LOST PROFITS, LOST REVENUE, LOST SALES, LOSS OF DATA, BUSINESS INTERRUPTION, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED THEY WERE POSSIBLE.
9.2 Cap. EXCEPT FOR EXCLUDED CLAIMS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED TO SUEDE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM [, OR $[AMOUNT], IF GREATER].
9.3 Excluded Claims. “Excluded Claims“ means Customer’s obligations to pay fees, a party’s indemnification obligations, Customer’s breach of Section 3 or 7.1, and a party’s gross negligence, fraud, or willful misconduct.
10. Indemnification
10.1 By Customer. Customer will defend Suede and its officers, employees, and agents against any third-party claim, including a claim by a vendor, brand, showroom, or shopper, arising out of or relating to (a) Customer’s breach of Section 3 or 7.1, (b) Vendor Materials or Customer Data, including any claim that Suede’s use of them as authorized by Customer infringes or misappropriates a third party’s rights, or (c) products Customer sells or listings Customer publishes. Customer will pay resulting damages, settlements, and reasonable attorneys’ fees.
10.2 By Suede. Suede will defend Customer against any third-party claim that the Services, excluding Customer Data, Vendor Materials, and third-party services, infringe a United States patent, copyright, or trademark, or misappropriate a trade secret, and will pay resulting damages, settlements, and reasonable attorneys’ fees. If such a claim is made or likely, Suede may modify the Services, obtain a license, or end the affected Services and refund prepaid fees for the unused period.
10.3 Process. The indemnified party will promptly notify the indemnifying party of the claim, give it sole control of the defense and settlement, and provide reasonable cooperation. The indemnifying party may not settle a claim that imposes an obligation or admission on the indemnified party without its consent.
11. Term and Termination
11.1 Term. These Terms apply from the date Customer accepts them until all subscriptions end or the Terms are terminated.
11.2 Termination. Customer may terminate by canceling its subscription and uninstalling the Suede App. Either party may terminate on written notice if the other materially breaches these Terms and does not cure the breach within 30 days of notice. Suede may terminate immediately for a breach of Section 3 or 7.1.
11.3 Effect. On termination, Customer’s right to use the Services ends. Listings already published to Customer’s Storefront remain there. For 30 days after termination, Customer may request an export of its Customer Data; after that, Suede may delete it, except as required by law or kept in routine backups. Sections 3.3 to 3.5, 5 (for amounts owed), 6, 8, 9, 10, 13, and 14 survive termination.
12. Changes to These Terms
Suede may update these Terms. For material changes, Suede will notify Customer by email or in the Suede App at least 30 days before they take effect. Customer may be asked to accept updated Terms in the Suede App. If Customer does not agree, it may cancel before the change takes effect. Continued use after that date means Customer accepts the updated Terms. Changes do not apply to disputes that arose before the effective date.
13. Disputes
13.1 Governing Law. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules.
13.2 Venue. Any dispute will be resolved exclusively in the state or federal courts located in King County, Washington, and each party consents to their jurisdiction.
13.3 Informal Resolution. Before filing a claim, the parties will try in good faith to resolve the dispute for 30 days after written notice. Either party may seek injunctive relief in court at any time to protect its intellectual property or confidential information.
14. General
14.1 Entire Agreement. These Terms, any Order Form, and the Privacy Notice are the entire agreement between the parties about the Services and replace prior agreements on that subject. Terms in Customer’s purchase orders or other documents do not apply.
14.2 Assignment. Neither party may assign these Terms without the other’s consent, except that either party may assign them in a merger, acquisition, or sale of all or substantially all of its assets or the business to which these Terms relate.
14.3 Independent Contractors. Except for the limited agency in Section 3.2, the parties are independent contractors. No partnership, joint venture, franchise, or employment relationship is created.
14.4 Force Majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages at Shopify or third-party AI or hosting providers, other than payment obligations.
14.5 Notices. Notices to Suede go to hello@thesuede.com. Notices to Customer go to the email address on its account or Shopify store.
14.6 Severability and Waiver. If a provision is unenforceable, it will be limited to the minimum extent needed, and the rest remains in effect. A failure to enforce a provision is not a waiver.
14.7 Export and Sanctions. Customer will comply with applicable export control and sanctions laws in its use of the Services.
14.8 Contact. Questions about these Terms: support@thesuede.com.
